Terms of Use

These terms are an agreement between you and Magic Merlin Ltd. (company number 517164828), “we” or “us”.

They cover the platform only. The work you do for us — what you make, deadlines, your fee, and who may use your videos — is set out in the creator agreement you sign for each campaign. If these terms and a creator agreement say different things, the creator agreement wins.

Merlin is invite-only. You can use it if we invited you and you are at least 18 years old (or the age of majority where you live, if that is higher).

• Keep it accurate. Give us correct details, and update them when they change — especially your payment details.
• Keep it yours. Your account is for you alone. Don't share your password or let anyone else sign in as you.
• Tell us about problems. If you think someone else has used your account, tell us right away and change your password.

You are responsible for what happens in your account unless it happened without your fault.

You keep the rights you have in what you upload — videos, photos, briefs, invoices and messages — except for the rights you give us in your creator agreement.

You allow us to store, copy, convert (for example, to make a smaller preview of a video) and show what you upload inside Merlin, so we can run your campaigns, review your work, pay you and keep the records we need. Using your videos outside Merlin is covered by your creator agreement.

When you upload something, you confirm that:

• you have the right to upload it and to give us the rights in your creator agreement;
• everyone who can be seen or heard in it has agreed to appear, and you have their permission for the uses in your agreement; and
• it doesn't break the law or anyone else's rights.

Please don't:

• try to see information or files that aren't yours, or get around a permission check;
• upload malware, or anything illegal, hateful or sexually explicit;
• test, probe or overload Merlin's security or systems without our written permission;
• copy Merlin's content in bulk, or use automated tools to collect it;
• use information you see in Merlin about other people for anything other than our work together.

You can sign contracts inside Merlin by typing your name and drawing your signature. This is a legally binding signature, just like signing on paper. When you sign, we record the date and time, your IP address and your browser type, and keep a copy of the signed document. You can open your signed contracts in Merlin at any time.

• How much and when: your fee and payment terms are in your creator agreement.
• Currency: we pay in US dollars, by PayPal or bank transfer.
• Your details: we pay to the details you give us. Please check them carefully. We aren't responsible for a payment that goes astray because the details were wrong, or for delays caused by PayPal or by banks.
• Taxes: you are responsible for your own taxes on what we pay you, unless the law requires us to withhold them.

We work to keep Merlin running and your files safe, but we can't promise it will always be available or free of errors. We may change, add or remove features. Please keep your own copy of your original videos.

We may suspend or close your access if you break these terms, if the law requires it, or when we stop working together. Where it's reasonable, we'll tell you first and explain why.

You can ask us to close your account at any time. Closing an account doesn't cancel a signed creator agreement or a payment you are owed, and we keep the records described in our Privacy Policy.

Merlin is a tool for our work together, provided as it is. As far as the law allows, we aren't responsible for indirect losses, such as lost profits or lost opportunities, caused by using Merlin or by it being unavailable.

Nothing in these terms limits our responsibility where the law doesn't allow it to be limited, for example for fraud, or takes away rights you have by law.

Our Privacy Policy explains what information we collect, how we use it, and your rights.

We may update these terms. If a change matters, we'll show you the new version in Merlin the next time you sign in and ask you to agree before you continue. The date and version at the top of this page show which one you are reading.

These terms are governed by the laws of the State of Israel. The courts of [City of the competent courts — to confirm], Israel, have jurisdiction over any dispute about them. This doesn't take away any right you have to bring a claim where you live, if the law where you live gives you that right.
